Terms of use
These are the rules for using Studioworks. We’ve tried to write them the way we’d explain them to you in person. When we say “we” or “us,” we mean Studioworks Studio Inc., 3200 Carbon Pl Ste 101, Boulder, Colorado 80301. When we say “you,” we mean the person or business using Studioworks. By creating an account or using Studioworks, you agree to these terms and to our Privacy Policy.
Who can use Studioworks
You need to be 18 or older and using Studioworks for a business, even a business of one. Anyone can sign up wherever it’s legal for them to do so. We have customers all over the world; we’re based in the United States, and we build first for the needs of businesses here.
Your account
Keep your login to yourself, and tell us right away at support@studioworks.app if you think someone else has used it. You’re responsible for what happens in your account, including what your teammates do there. The information you give us should be accurate, and you should keep it current.
Plans and the honor system
Every plan is the whole product. The plans differ by how many people can log in and a few things that only make sense at a size (your own domain on Studio and Agency, and a client hub without our name on Agency). Pick the plan that’s the size of your business; we take your word for it.
Your price doesn’t change
What you pay today is what you’ll pay for as long as you keep your plan. If we raise prices, the new prices apply to people who join after the change, not to you. This holds even if we rename a plan. Two things can change what you’re charged: switching to a different plan (you’ll pay that plan’s price at the time you switch), and taxes, which are set by law, not by us. This promise isn’t something we can take back by changing these terms. If we ever couldn’t keep it, we’d close Studioworks rather than break it, and we’d give you the notice described under “If we ever shut down.”
The free trial
Your trial is 14 days, or 30 if another studio referred you. We ask for a card when you start. You won’t be charged during the trial, we’ll remind you before it ends, and if you don’t cancel, your plan starts and your card is charged on the day the trial ends.
Billing
We bill your card each month, through Stripe. If a payment fails, we’ll tell you and try again; if it keeps failing, we may pause your account until it’s sorted out. Prices don’t include sales tax or VAT where it applies; we add it at checkout.
Canceling
You can cancel any time from Settings. You’ll keep everything until the end of the month you’ve paid for, and you won’t be charged again. You can change your mind and resume before then.
Referral credit
When a studio you referred pays us for the first time, we credit your account with what they paid. Credit pays your future bills with us. It has no cash value, can’t be transferred, and ends if you cancel.
Getting paid by your clients
Your clients pay you, not us. Card and bank-transfer payments run through your own Stripe account, under Stripe’s terms, which you accept when you connect it. We never hold your money, and we don’t add any fee to what your clients pay you. You decide whether your client covers the card processing fee; if you pass it on, you’re responsible for following the rules where you and your client are. Other ways to pay (checks, wires, and the rest) happen outside Studioworks; we record what you mark as paid but don’t check it.
Your data is yours
Everything you put into Studioworks (your clients, their people, your proposals, invoices, and files) belongs to you. You give us permission to store it, show it to the people you share it with, and process it as needed to run Studioworks for you, and for nothing else. You’re responsible for having the right to put your clients’ information into Studioworks, and for what your proposals and invoices say. We handle your clients’ information on your behalf, as described in our Privacy Policy. You can ask us for a copy of your data at any time.
Your clients
Your clients use Studioworks through your client hub, logging in with their email. They don’t need an account and don’t agree to these terms; your relationship with them is yours. Please only invite people who expect to hear from you.
Signing proposals
Proposals in Studioworks are signed electronically, and we keep a record of each signature with a certificate anyone can check. In the United States, electronic signatures are generally as binding as ink. We provide the signing, not legal advice: what your proposals and contracts say is up to you.
The community
Every plan includes the Studioworks community. Be kind, be honest, and don’t post anything that’s illegal, hateful, harassing, sexually explicit, misleading, or that infringes someone else’s rights, and don’t use it to sell to other members. You’re responsible for what you post. We may remove posts, or remove people who don’t follow these rules.
Using Studioworks fairly
Don’t use Studioworks to break the law, to send spam, to deceive anyone, or to pretend to be someone else. Don’t try to break, overload, scrape, or get around the security of Studioworks, and don’t upload anything malicious. If you do, we may suspend or close your account.
Our work
Studioworks itself (the software, the design, the type and the words we wrote, and our name and logo) belongs to us and the people we license from. You can use it as part of your plan, but you can’t copy it, resell it, or use our name or logo without asking. If you send us ideas or feedback, we may use them without owing you anything.
Copyright complaints
If you think something on Studioworks infringes your copyright, write to hello@studioworks.app. We close the accounts of people who infringe repeatedly.
If something goes wrong
We work hard to keep Studioworks running and your data safe, but we provide it “as is” and can’t promise it will always be available or free of mistakes. Keep your own records of anything you couldn’t afford to lose. To the extent the law allows, we’re not responsible for indirect losses, like lost profits or lost business, and our total responsibility to you for anything related to Studioworks is limited to what you paid us in the 12 months before the problem. Some places don’t allow these limits, so they may not all apply to you.
Your responsibility to us
If someone makes a legal claim against us because of something you put into Studioworks, or because of how you used it in breaking these terms, you agree to cover our reasonable costs, including legal fees.
If we close your account
We may suspend or close an account that breaks these terms. Unless it’s urgent or the law stops us, we’ll tell you why first and give you a chance to fix it, and to take a copy of your data.
If we ever shut down
We don’t plan to. But if we ever decide to close Studioworks, we’ll tell you by email at least 90 days ahead, stop charging you, and send you a copy of your data.
When you leave
After your plan ends, we keep your account for 90 days so you can come back. Before we delete it, we send you a copy of your data. Then we delete it, except for records the law requires us to keep, like billing records. If you’d rather we delete it sooner, ask, and we will.
Changes to these terms
If we change these terms in a way that matters, we’ll email you at least 30 days before the change takes effect. If you don’t agree, you can cancel before then. Nothing in a change can undo the price promise above.
The legal bits
These terms are governed by Colorado law. Any dispute goes to the state or federal courts in Colorado. If part of these terms can’t be enforced, the rest still applies. If we don’t enforce something right away, we haven’t given it up. These terms and our Privacy Policy are the whole agreement between us about Studioworks.
